Ricardo Madrona holds a Law Degree from the Catholic University of Campinas and a Pos-graduation degree in commercial law from the same university. He is a member of the Brazilian Association of Public Companies (Abrasca), of the Brazilian Corporate Governance Institute (IBGC) and of the Brazilian Institute of Investor Relations (IBRI). Ricardo Madrona is also a Professor at the MBA Program of University of Sao Paulo Law School (USP/ Fipecafi) on corporate and commercial law, corporate governance and capital markets. He is experience on corporate and commercial law, mergers and acquisitions, joint-ventures, competition law and foreign investment and sports law.

Certain Representative Matters
  • Merger of energy transmission companies. The companies, both of then public owned, are concessionaries for the electric transmission services. The work included: (i) definition and implementation of the structure of the merger; (ii) complete due diligence of the activities of each of the companies; and (iii) the preparation of the documents required to implement such merger. Ricardo Madrona Saes also represented these clients in the antitrust filing;

  • Acquisition of shares issued of a medical equipment company, drafting and negotiation of the Shares Purchase Agreement. Ricardo Madrona Saes also represented in the antitrust filing;

  • Acquisition of securities brokerage house followed by a merger of the operations into the purchasing entity;

  • Acquisition of the corporate control of agriculture products company;

  • Acquisition of 100% of the shares of entertainment company owning music halls;

  • Sale of the shares held by a Federative State in a public-controlled financial institution to the Federal Government for privatization purposes;

  • Privatization of electrical distribution company;

  • Privatization of fixed telephony company;

  • Acquisition of 100% of the shares of a market research group by a foreign company and submission of the antitrust filing;

  • Acquisition of the shares issued by a maritime transportation company by a foreign operator and submission of antitrust filing;

  • Formation of a consortium of companies providing professional research services.
